Bylaws for Students Encouraging Environmental Dedication

Amended October 3, 2013

Article I: Name of the Organization

  1. The name of the organization shall be Students Encouraging Environmental Dedication, referred to herein as SEED.

Article II: Purpose of the Organization

  1. To vocalize and take action upon students' environmental and social concerns.
  2. To educate the Marist College Community about both global and local issues.

Article III: Membership

  1. Membership shall be open to all Marist students.
  2. Membership shall be recognized through registration by signature.
  3. Members shall be deemed as such through their attendance at a maximum allowance of one absence.
  4. If an officer were to reside from a post during academic year, you should have a few general procedures to take up the slack that the officer leaves behind. The bylaws should describe what should be done to fill vacant positions (three options for this: (1) reassign the duties of that office to the other remaining officers until the next election (2) hold an election for that office or (3) have the president appoint that said position).

Article IV: Meetings

  1. Meetings shall be held at the discretion of the executive board of officers.
  2. The executive board of officers will meet weekly to discuss the status of the committees and any other pertinent information. The previous week’s activities will also be discussed and the goals and agendas for the following week will be determined. 

Article V: Leadership

  1. SEED will be lead by five officers. To hold an officer’s position, one must be an active SEED member for a minimum of at least one academic year. The officers are: President, Vice President, Treasurer, Secretary, and Public Relations + Webmaster. Their duties are as follows: 
    a. President
              i. Shall prepare the agendas for all meetings.
             ii. Shall preside over and run all meetings.
            iii . Shall be the official spokesperson for SEED for internal and external purposes.
            iv. Shall keep a calendar of upcoming events.
    b. Vice President
              i. Shall perform the duties of the President when she/he cannot.
             ii. Shall assist the President or executive board in anyway.
    c. Treasurer
              i. Shall prepare the budget with the direction of the executive board.
             ii. Shall pay all bills and make all club deposits.
            iii . Shall keep records and receipts of all club funds and expenses and make a monthly
                 written report to the executive board. The report will include the transactions of the
                 previous month and the balance of SEED's account.
    d. Secretary
              i. Shall keep minutes of all regular and executive board meetings.
             ii. Shall keep attendance records from all meetings.
            iii . Shall keep an accurate list of all members including names , campus wide ID
                 (CWID) numbers, and email addresses.
             iv. Shall send emails to inform all members of activities and meetings.
    e. Public Relations + Webmaster
              i. Shall update officer and club information on the website as needed.
             ii. Shall post at the beginning of each month that month's activities.
            iii. Shall be responsible for promoting any events deemed necessary by the executive
             iv. Shall prepare all publicity with the direction and approval of the executive board.
  2. The executive board will be made up of five officers and committee heads.
    a. The executive board shall plan and conduct at least one fund-raiser per semester.

Article VI: Elections

  1. Elections shall be held in the Spring semester as designated by the Activities Calendar, unless an officer needs to be elected at an alternate time.
  2. Nominations will occur one general members meeting prior to elections. At least 2/3 of the general members must be in attendance at both meetings.
  3. Elected officers serve in their respective positions for one academic year. Existing officers must be reelected into their position in accordance to the designated Spring election period. The transition period is from election time to May. Officers assume their positions in September.

Article VII: Impeachment

  1. If an officer or committee head is in violation of any of the following; they may be removed from office by a two-thirds vote of the membership:
              a. Dereliction of duties as per description of duties/responsibilities.
              b. Three unexcused absences a semester.
  2. Vacancies will be determined by a general member’s election process as outlined above.

Article VIII: Projects

  1. SEED may form committees to focus on specific environmental and social issues.
  2. The groups will be formed by a vote of membership when there is sufficient interest in an issue.
  3. Committee Heads will be appointed within the committee with the final approval of the executive board.
              a. The Committee Heads shall organize and lead the committee.
              b. The Committee Heads shall report the committee’s progress at executive board and
                  regular meetings.
              c. The Committee Head may seek funds for committee functions through the club
              d. Committee Heads may only run one committee.

Article IX: Parliamentary Procedure

  1. Unless suspended, all meetings will be ran according to Robert’s Rules of Order, Newly Revised.

Article X: Amendment of Bylaws

  1. These bylaws shall be reviewed by the executive board on a yearly basis.
  2. These bylaws may be amended by a two-thirds majority vote of the general members with the final approval by SGA.

Article XI: Policies and Actions

            SEED, and any individual associated with SEED, shall abide and conform to all Federal New York State, and local laws, and rules and regulations of Marist College, and the directives of the Student Government Association. Any violation of the aforementioned criteria may result in disciplinary action taken by SEED.

Meetings are twice a month and will be posted at least a week prior to the meetings.
